1. Definitions

2. Eligibility

  1. To self-register an Account, you must confirm, by ticking the checkbox presented at registration, that you are 18 years of age or older, or that, if you are under 18, you have the permission of a parent or legal guardian to use the Service. This confirmation is self-certified, not independently verified, and a timestamped record that it was given is kept (see our Privacy Policy, Section 2.1).
  2. If you register on behalf of a School, you confirm that you are authorised by that School to do so, and to bind the School to these Terms.
  3. You must provide accurate, current, and complete information when registering, and keep it up to date.
  4. We may refuse, suspend, or terminate an Account at our discretion where these eligibility requirements are not met.

3. The Service

Able Rugby is a team-management and live match-tracking platform for school rugby (and, where enabled, other sports), including features for setting up fixtures, maintaining a player registry, logging live match events, generating match reports, and viewing match statistics and history.

Spectator accounts are free of charge and are not part of a School's paid Subscription. A spectator account only lets you view live details (e.g. score, cards, timing) of a specific fixture that a School's Technical Table has made visible, in the same way you'd follow a match from the sideline. It does not give access to a School's player registry, other fixtures, or any other School's data.

We may add, change, or remove features of the Service at any time. We do not guarantee that any specific feature will always be available, and we are not liable for any loss arising from a feature being changed, suspended, or discontinued, except as required by law.

4. Your account & responsibilities

  1. You are responsible for keeping your password confidential and for all activity that occurs under your Account. Notify us immediately at [enable JavaScript to view our email address] if you suspect unauthorised access.
  2. You must not share your login credentials with anyone else, or allow another person to use your Account.
  3. You are responsible for the accuracy of any information you or your School submit to the Service.

5. Schools' responsibility for Player Data

Where a School's authorised staff enter Player Data (see Definitions) into the Service, the School represents and warrants that:

  1. It has the necessary lawful basis, and, where required by the Protection of Personal Information Act ("POPIA") or any other applicable law, the consent of a parent or legal guardian, to submit that Player Data;
  2. The information entered is accurate and kept reasonably up to date;
  3. It will promptly action, or forward to us, any request from a parent, guardian, or the player themselves (once of age) to access, correct, or remove that Player Data;
  4. It is solely responsible for screening and vetting anyone it grants access to the Service, for example checking a coach, staff member, or volunteer against the National Register for Sex Offenders where the Children's Act 38 of 2005 or the Criminal Law (Sexual Offences and Related Matters) Amendment Act 32 of 2007 requires it. Able Directory performs no such vetting itself and grants Service access strictly on the School's own instruction.

Able Directory processes Player Data solely to provide the Service to the School, on the School's instructions, and does not use it for any other purpose. See our Privacy Policy, Section 6, for full detail on how responsibility for this category of information is allocated, and the Data Processing Agreement available to Schools on request.

6. School applications, access approval & payment

Access to the Service is granted on a per-School, application basis. A School does not gain access to another School's data, or to the Service generally, until its application has been reviewed and approved by Able Directory. This process exists to protect the personal information of every School using the Service, by confirming that whoever is requesting access on a School's behalf is actually authorised to act for that School. Certain features of the Service are, or will be, offered under a paid, per-School subscription plan; spectator accounts are free and are not subject to any Subscription or fee, as described in Section 3 and Section 4 above. These terms are intended to comply with section 14 of the Consumer Protection Act 68 of 2008 ("CPA"), to the extent it applies to your School's Subscription, and, like the rest of these Terms, are written in the plain and understandable language section 22 of the CPA requires. Where a paid plan applies:

  1. Application & approval: a School applies for access to the Service by submitting the information we request (e.g. School details and the identity/authority of the person applying on the School's behalf). We review each application and may approve, reject, or request further information before granting access. We may decline an application at our discretion, including where we cannot verify the applicant's authority to act for the School.
  2. Fees: the applicable subscription fee, if any, will be disclosed to you before your application is approved or you otherwise subscribe, and is subject to change with at least 30 days' prior notice, effective at your next billing cycle.
  3. Billing cycle: once your School's Subscription is active, it renews automatically for successive periods (monthly or annual, as selected) unless cancelled before the renewal date. We will notify you by email in advance of each renewal that involves a charge.
  4. Payment processing: payments are processed by a third-party, PCI-DSS-compliant payment processor. We do not store your full card details.
  5. Non-payment: if a payment fails or is not received by the due date, we may suspend access to paid features until payment is made, after reasonable notice.
  6. Cancellation: you may cancel a Subscription at any time, at least as easily as you subscribed, through your account settings or by contacting us directly, with no penalty and no requirement to give a reason. Cancellation takes effect at the end of the then-current paid billing period, and no partial-period refund is given except where required by law or expressly stated at the time of purchase.
  7. No dark patterns: we will not make cancellation harder to find or complete than subscribing, use misleading design to discourage cancellation, or silently lock you into a renewal you were not clearly notified of in advance.
  8. Price changes and refunds for any specific promotional offer will be governed by the terms disclosed at the time of that offer, which take precedence over this Section 6 for that offer only.

Features not part of a paid plan remain available on the terms described on the Service at the relevant time, and may be changed, limited, or discontinued as described in Section 3.

7. Acceptable use

You must not, and must not permit anyone else to:

We may investigate and take appropriate action against any breach of this Section, including suspending or terminating the relevant Account, at our sole discretion.

8. User Content & intellectual property

  1. You (or your School) retain ownership of the User Content you submit. By submitting User Content, you grant Able Directory a non-exclusive, worldwide, royalty-free licence to store, process, display, and otherwise use that User Content solely to provide, maintain, and improve the Service.
  2. The Service itself, including its software, design, trademarks ("Able Rugby"), and all underlying technology, is and remains the exclusive property of Able Directory (Pty) Ltd or its licensors. Nothing in these Terms grants you any right to that intellectual property beyond the limited right to use the Service as intended.
  3. You must not copy, modify, distribute, sell, or lease any part of the Service, or reverse-engineer or attempt to extract its source code, except where applicable law expressly permits it.

9. Data protection

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the processing described there. A PAIA Manual describing the categories of records we hold and how to request access to them is available on request from our Information Officer.

10. Service availability & changes

We aim to keep the Service available and performing well, but we do not guarantee uninterrupted, error-free, or continuously available access. We may suspend the Service for maintenance, upgrades, or reasons beyond our reasonable control, and will aim to give reasonable notice of planned downtime where practicable.

11. Suspension & termination

  1. You may stop using the Service, or request deletion of your Account, at any time by contacting us.
  2. We may suspend or terminate your Account, with or without notice, if: (a) you breach these Terms; (b) required to do so by law; (c) your Subscription payment fails and remains unpaid after reasonable notice (Section 6); or (d) we reasonably believe your use of the Service poses a risk to Able Directory, other users, or any third party (including a risk to a minor's safety or personal information).
  3. On termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) continue to apply.

12. Disclaimers

The Service, including all software, features, output, data, reports, and statistics it generates, is provided strictly "as is" and "as available", entirely at your own risk, without warranty or representation of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. To that extent, we expressly disclaim every implied warranty, including of merchantability, quality, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, and non-interference. Without limiting the above, we do not warrant that: the Service will be uninterrupted, timely, secure, or error-free; any defect will be corrected; the Service is or will remain compatible with any particular device, browser, or other software; the Service is free of viruses or other harmful components; or any data will never be lost, corrupted, or delayed (though we take reasonable steps to prevent this; see our Privacy Policy, Section 9). The entire risk as to the quality, performance, and results of using the Service remains with you.

No warranty on Service-generated data. Match statistics, reports, and any other output the Service generates are only as accurate as the information a School's own staff enter. We do not verify, audit, or warrant the accuracy, completeness, or fitness for any purpose of that output, and you use it at your own risk. The Service does not give legal, medical, financial, coaching, or any other professional advice, and nothing in it should be treated as such.

No responsibility for User Content or other users. We do not review, verify, or endorse User Content before it is submitted, and are not responsible for its accuracy, legality, or the conduct of any user or School who submits it.

Not a medical, safety, or return-to-play system. The Service lets a Technical Table or coach log what happened during a match, including injury-related events (for example a Blue Card / suspected head injury, a Serious Injury, or an Injury to Hospital). Logging such an event in the Service is nothing more than a record of that call having been made on the field. It is not a medical assessment, a diagnosis, or a substitute for it. Every decision about recognising, managing, or returning a player to play after a suspected head injury or other serious injury must be made in accordance with BokSmart, South African Rugby Union ("SARU"), and/or World Rugby's own protocols, by the qualified persons those protocols require, never based on, or in place of, anything recorded in the Service.

Not an insurer. Able Directory does not provide, arrange, or guarantee any form of player injury or medical insurance. Each School is solely responsible for ensuring its players are covered by adequate injury insurance (for example, a SARU-affiliated injury benefit scheme), independently of the Service.

Not a party to sport governing-body regulations. Able Directory is not SARU, World Rugby, BokSmart, or any school sport governing body, is not a party to their regulations, and does not verify or enforce compliance with them, including age-grade or weight-grade eligibility rules, coach accreditation (e.g. BokSmart certification), or match-official requirements. Ensuring a School's own compliance with the rules of the sporting bodies it plays under remains that School's responsibility.

Third-party services. The Service depends on infrastructure and services we do not control: our hosting provider, and (once appointed) our payment processor. We select these providers with reasonable care, but are not liable for their failure, outage, error, security incident, or breach of their own obligations to us.

13. Limitation of liability

  1. To the maximum extent permitted by law, Able Directory's total aggregate liability to you, your School, or any third party, arising out of or in connection with these Terms, the Service, or your (or your School's) use of or inability to use it, whether arising in contract, delict (tort, including negligence), strict liability, statute, or otherwise, and regardless of the form of action, is limited to the total Subscription fees actually paid by your School to Able Directory in the 12 months immediately preceding the event giving rise to the claim (or, for a free Account or a School with no paid Subscription, ZAR 0).
  2. We exclude all liability for indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including any loss of profits, revenue, business, business opportunity, anticipated savings, use, data, or goodwill, even if we have been advised of, or ought reasonably to have foreseen, the possibility of such loss.
  3. Your sole and exclusive remedy for any dissatisfaction with, or loss arising from, the Service is to stop using it.
  4. Each provision of this Section is a separate limitation applying even if any other provision is found unenforceable, and these limitations apply cumulatively, not per incident.
  5. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for gross negligence, wilful misconduct, fraud, or a right the Consumer Protection Act grants that cannot be waived. Where a court finds any part of this Section unenforceable against you for that reason, only that part falls away; the rest, including the cap in point 1, continues to apply to the fullest extent still permitted.

14. Indemnification

You agree to indemnify, defend, and hold harmless Able Directory (Pty) Ltd, its directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, and expenses (including reasonable legal fees), whether brought by a third party or otherwise, arising out of or relating to: (a) your or your School's breach of these Terms; (b) User Content you or your School submits, including any failure to obtain lawful consent for Player Data as required by Section 5; (c) your or your School's unlawful, unauthorised, or negligent use of the Service; or (d) your or your School's violation of any applicable law or any third party's rights.

15. Force majeure

Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including load-shedding, internet or hosting provider outages, natural disasters, or governmental action.

16. International users

The Service is operated from, and primarily intended for, South African schools. If you access the Service from outside South Africa, you do so on your own initiative and are responsible for compliance with any local laws that apply to you. See our Privacy Policy, Section 7, for how we handle information for international users.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new "Last updated" date, and for material changes, will notify registered users by email or in-app notice before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

18. Governing law & jurisdiction

These Terms are governed by the laws of the Republic of South Africa. You and Able Directory each submit to the non-exclusive jurisdiction of the courts of South Africa (Gauteng Division, Pretoria) in respect of any dispute arising from these Terms or the Service. This does not remove any mandatory consumer-protection right you may have under the law of your own country of residence, to the extent such law cannot be excluded by agreement.

19. General

  1. Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and Able Directory regarding the Service, superseding any prior agreement on the same subject.
  2. Severability: if any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  3. No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
  4. Assignment: you may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  5. Notices: we may give you notice by email to the address on your Account, or by posting a notice within the Service.
  6. Electronic acceptance: you accept these Terms electronically, by creating an Account, submitting a School application, or otherwise using the Service. Under the Electronic Communications and Transactions Act 25 of 2002, that electronic acceptance is as legally valid and binding as a signature on paper.
